These Terms of Use (“Terms”) govern your access to and use of the FinRec Health website, FinRec AI, and related online services provided by FinRec Health CPA's LLC (“FinRec,” “we,” “us,” or “our”).

By accessing or using our website or services, creating an account, or subscribing to FinRec AI, you agree to these Terms. If you do not agree, do not use the services.

1. Our Services

FinRec provides healthcare financial, accounting, revenue-cycle, analytics, and related professional services and informational resources.

FinRec AI is a technology-enabled knowledge tool designed to help users explore questions related to healthcare finance, accounting, revenue cycle, analytics, athena workflows, and related topics.

FinRec AI is currently offered as a beta product. Features, functionality, availability, pricing, and supported uses may change as the product develops.

2. FinRec AI Is an Informational Tool

FinRec AI provides AI-generated information and is intended to serve as an informed starting point for research, analysis, and professional judgment.

FinRec AI does not replace qualified professional advice or independent review.

Outputs may be incomplete, inaccurate, outdated, or inappropriate for a particular situation. Users are responsible for evaluating and verifying information before relying on it.

Users should not rely solely on FinRec AI when making accounting, audit, tax, legal, regulatory, compliance, reimbursement, billing, coding, financial-reporting, or other material business decisions.

Use of FinRec AI does not, by itself, create an accountant-client, auditor-client, attorney-client, fiduciary, consulting, or other professional relationship with FinRec.

Any separately contracted professional services provided by FinRec are governed by the applicable engagement agreement.

3. No PHI or Sensitive Personal Data

Do not enter patient-identifiable information, protected health information (“PHI”), or other sensitive personal data into FinRec AI.

FinRec AI is not intended to receive or process PHI.

Users are responsible for ensuring that information submitted is appropriate for use with the service and does not contain PHI, patient-identifiable information, account credentials, payment-card information, Social Security numbers, or other sensitive information that should not be submitted.

The presence of a warning regarding PHI does not constitute automated PHI detection, screening, or prevention.

FinRec does not represent FinRec AI as a HIPAA-compliant environment for submitting PHI.

4. Accounts

Certain services require a user account.

Users agree to provide accurate account information and maintain the confidentiality of login credentials.

Users are responsible for activity conducted through their accounts unless caused by circumstances outside their reasonable control.

Accounts may not be shared in a manner that circumvents subscription, access, security, or usage restrictions.

FinRec may suspend or restrict access when reasonably necessary to protect the service, users, FinRec, or third parties.

5. FinRec AI Subscriptions

Certain access to FinRec AI may require a paid subscription.

Current pricing, promotional terms, billing frequency, applicable taxes, and any introductory or complimentary period will be disclosed before purchase.

Unless otherwise stated at checkout, paid subscriptions automatically renew for successive billing periods until canceled.

Payments are processed through a third-party payment processor. FinRec does not receive or store users' complete payment-card numbers.

Users authorize the applicable payment processor to charge their selected payment method for recurring subscription fees and applicable taxes.

Users may cancel through the online subscription-management tools made available with their account.

Unless otherwise stated, cancellation takes effect at the end of the then-current billing period.

Except where required by applicable law or expressly stated otherwise, payments already made are non-refundable.

Promotional pricing, complimentary periods, introductory offers, and other promotions may be limited by eligibility, quantity, duration, or other conditions disclosed with the offer.

6. Complimentary Access

FinRec may, in its discretion, provide complimentary, pilot, internal, promotional, or other non-paid access to FinRec AI.

Complimentary access does not create an entitlement to continued access and may be subject to expiration, modification, or revocation.

If a user separately maintains a paid subscription, receiving complimentary access does not automatically cancel, pause, or modify that paid subscription.

7. Acceptable Use

Users may not:

  • use the services for unlawful, fraudulent, deceptive, or abusive purposes;
  • submit PHI or other prohibited sensitive personal data to FinRec AI;
  • attempt to gain unauthorized access to another person's account or data;
  • bypass access controls, subscription requirements, security measures, rate limits, or technical restrictions;
  • reverse engineer, disrupt, interfere with, overload, or impair the services;
  • use automated methods to scrape or extract substantial portions of the services except as expressly authorized;
  • transmit malicious code or material intended to damage or compromise systems;
  • falsely represent AI-generated content as having been reviewed or approved by FinRec professionals;
  • use the services in a way that infringes the rights of FinRec or third parties.

FinRec may restrict or terminate access where it reasonably determines use violates these Terms or creates security, legal, operational, or reputational risk.

8. User Content

Users retain ownership of content they submit to the services.

Users grant FinRec and its service providers the limited rights necessary to receive, transmit, process, store, and display submitted content for purposes of operating, securing, maintaining, and improving the services.

Users represent that they have the right to submit information they provide.

Users should submit only information necessary for their intended use.

9. AI Conversations and Feedback

FinRec AI may retain conversation history so users can revisit prior conversations and continue existing discussions.

Users may be provided tools to delete conversations.

Deletion from the user interface may not result in immediate deletion from backups, security records, or systems subject to legitimate retention requirements.

If users provide ratings, feedback, suggestions, or other comments regarding FinRec AI, FinRec may use that feedback to evaluate and improve the service.

10. Third-Party Services

Our services depend on third-party technology providers, which may include providers of authentication, payment processing, cloud hosting, artificial intelligence, email delivery, and related infrastructure.

Those services may experience interruptions, outages, changes, or errors outside FinRec's control.

Use of third-party services may also be subject to applicable third-party terms and privacy practices.

11. Intellectual Property

The FinRec name, branding, website design, content, software, documentation, and other materials provided by FinRec are owned by FinRec or its licensors and are protected by applicable intellectual-property laws.

Except as expressly permitted, users may not copy, reproduce, distribute, sell, license, modify, or create derivative works from FinRec materials.

These Terms do not transfer ownership of FinRec intellectual property.

12. Beta Services

FinRec AI is currently a beta service.

Beta services may contain errors, may change without notice, may experience interruptions, and may not always operate as expected.

FinRec may add, remove, modify, suspend, or discontinue beta functionality as the product evolves.

13. Service Availability

FinRec strives to provide reliable services but does not guarantee continuous or uninterrupted availability.

Maintenance, provider outages, security events, upgrades, technical failures, or other circumstances may temporarily affect availability.

14. Disclaimer of Warranties

To the fullest extent permitted by law, the website and FinRec AI are provided on an “as is” and “as available” basis.

FinRec makes no warranty that AI-generated responses will be accurate, complete, current, error-free, or suitable for any particular purpose.

FinRec disclaims warranties to the extent permitted by applicable law, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Nothing in this section limits warranties or rights that cannot legally be excluded.

15. Limitation of Liability

To the fullest extent permitted by applicable law, FinRec will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising out of or relating to use of the website or FinRec AI, including lost profits, lost revenue, lost data, or business interruption.

To the extent permitted by law, FinRec's aggregate liability arising from use of FinRec AI will not exceed the amount paid to FinRec for FinRec AI during the twelve months immediately preceding the event giving rise to the claim.

These limitations do not apply where prohibited by law.

16. Changes to the Services or Terms

FinRec may update the services or these Terms from time to time.

When changes are material, FinRec may provide notice through the website, service, email, or another reasonable method.

Updated Terms become effective as stated in the revised version.

17. Termination

Users may stop using the services at any time.

FinRec may suspend or terminate access when reasonably necessary because of a violation of these Terms, nonpayment, security concerns, unlawful activity, discontinuation of a service, or similar circumstances.

Sections that by their nature should survive termination will remain in effect.

18. Governing Law

These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to conflict-of-law principles.

To the extent permitted by applicable law, disputes arising out of or relating to these Terms or the services will be subject to the jurisdiction of the state and federal courts located in Massachusetts.
